1. Agreement to Terms

By accessing or using Raina ("Service"), operated by Raina Ventures LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

Raina is a trust orchestration platform that provides authenticity and verification scoring for media and content. The Service analyzes content to provide trust signals, corroboration mapping, and verification insights.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to circumvent, disable, or interfere with security features of the Service
• Use automated systems (bots, scrapers) to access the Service without authorization
• Transmit viruses, malware, or other malicious code
• Impersonate any person or entity or falsely state your affiliation
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without written authorization

4. Prohibited Content

You may not upload, submit, or analyze content that:

• Contains child sexual abuse material (CSAM) or exploits minors
• Promotes terrorism, violence, or illegal activities
• Infringes on intellectual property rights of others
• Contains personally identifiable information without consent
• Violates any applicable law or regulation

We reserve the right to remove any content and terminate accounts that violate these restrictions without notice.

5. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password for your account
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with third parties
• Keep your API keys secure and rotate them regularly

6. Subscriptions, Billing & Refunds

Subscription Plans: Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.

Automatic Renewal: Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel at any time through your account settings.

Refunds: All subscription fees are non-refundable except as required by law or at our sole discretion. If you believe you are entitled to a refund, please contact our support team.

Price Changes: We reserve the right to modify pricing with 30 days' notice. Price changes will apply to the next billing cycle following the notice period.

7. Intellectual Property

Our IP: The Service, including all content, features, and functionality (excluding user content), is owned by Raina Ventures LLC and is protected by copyright, trademark, and other intellectual property laws.

Your License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

8. User Content & Uploads

Ownership: You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process, analyze, and store such content solely to provide the Service.

Your Responsibility: You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws.

Data Retention: We retain User Content and analysis results in accordance with our Privacy Policy. You may request deletion of your data at any time.

9. Copyright & DMCA

We respect intellectual property rights and expect users to do the same. If you believe that content available through our Service infringes your copyright, please submit a takedown notice to:

Your notice must include: identification of the copyrighted work, identification of the infringing material, your contact information, a statement of good faith belief, and a statement under penalty of perjury that the information is accurate.

10. Limitation of Liability

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Raina Ventures LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Termination

By You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us to attempt to resolve the dispute informally.

Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of such courts.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Raina Ventures LLC regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
